A contract was written on MY house

Finally..........a contract was written for my house. You may remember, we bought one home scheduled to close on 3/30 and had 2 homes to sell. DH's home sold is also closing on 3/30.

I haven't seen the actual contract yet, but the good is:

- only contingency is a home inspection

- they have a pre-commitment letter

- they are ready to close 04/05 (meaning I can pay my HELOC off for the downpayment on the new home)

the bad is:

- Lower my listing price by $5k

- Asking for $12K closing, which is ALL of their closing.

I believe they are cash poor, so I think I'm going to counter by keeping the same listing price and offering them $8-10k in closing. My agent also suggested that I put in the home inspection clause that mechanical, plumbing & something else would be covered, but the rest I would not cough up money for. I would think something was wrong if a seller countered me with that? Anybody be suspicious of something like that?
