Trane vs Bryant - 3 ton Duel-fuel Heatpump

I am replacing my 10 yrs old upstair 3 ton Trane split AC system that leaks freon. It's about 1500 sq ft for my second floor, also I am about to finish up my attic which will have roughly 546 sq ft. I live in Cary, NC and decide to switch to dual-fuel HeapPump with furnace as my backup in the winter. I want whatever I replace now can handle attic room (attic remodel starts in Oct.). I also do not want to leave the $1500 off the table.

One nice Trane dealer did the the load calc and suggested me to stay with 3 ton for both floors since the original system was over-sized to begin with.

He searched in Trane's database and found out only one system with XL15i AC and XV80 qualifies for $1500 tax rebate. He couldn't find the Heatpump version of XL15i that qualifies. He then found one system using the new XR15 Heatpump (with XV80 furnace) that qualifies and recommended me as my replacement:

After he left I searched on AHRI and found two more:

Question for the knowledgeables:

1. What's the difference using Furnace *UD140R9V5 and *UD120R9V5? Also, what's the difference with *DD120R9V5?

2. He told me it looks like Trane has to use 5 ton furnace to come up a match that qualifies for the tax rebate. He said it's okay to use the 5 ton furnace instead of a 3-4 ton which would be a better match. Does this sound okay?

3. I know XL15i is a great system. XR15 is new and also unknown. Will I be better off to stay with XL15i AC instead of switching to heappump?

4. Price for the whole 4TWR5036E1 4TXCD050BC3 *UD120R9V5 is $10281, includes a Honeywell zoning system so I can separately control 2nd floor and attic, also includes two TCONN 803 stats. Add 5" media filter would be additional $200, plus another $300 for a new lineset( or frush existing). Does this sound reasonable?

5. I asked Honeywell VisionPro IAQ, he said 803 is the same as IAQ and if I insist on IAD the price would be the same.

6. I asked about my existing flex ducts, he took a looke and said "That's pretty awful to be honest". But he didn't propose any duct repair/replace work, only said they will perhaps re-seal it up. What should I push for?

7. I read a while ago here someone else from Cary, NC got a 2.5 ton XL15i based Heatpump split system for around $7100. I wonder if the bypass damper zoning system is the main difference here.

8. It looks like if using a thrid party coil like ADP ot Aspen, it will open up many more configurations that qualifies for tax-rebase. Is it worthwhile or will be better of to use manufacture's matching coil?

Overall, very nice and knowledgeable guy but I realize that the people who do the installation for the system is the real key here, not the sales and I have no way to know. Tomorrow I will have Bryant dealer come to take a look.

First, can someone comment on if this Trane system a good setup? Your advice is really appreciated.
