Rescued Janet Craig Dracena needs help!

My husband rescued a Janet Craig dracena from someone's trash about a week ago. It is about 4-5 feet tall and has three "shoots." I think it was hit with frost as a lot of the leaves (all of them on one shoot and 90% of them on the other two shoots) are so dark green that they are almost black. Also on the few green leaves it has left are large crisp brown spots. From what I have read here, that is from too much sun. Another problem is that in our attempts to save it we have severly over-watered it. It needs to be re-potted (I assume-for some new, dry soil if for nothing else.) It is hanging out with the rest of my "jungle" in a large north-facing 3-door area (3 french doors that do not get any foot traffic this time of year)of our home but is in the back so it won't get gobs of sun. We are wondering:

1. Do we cut down the shoot with all the black leaves? If so, how close to the soil? Will it re-grow?

2. Do we peel off the dead leaves on the other shoots?

3. Re-pot?

4. Will it recover from the frost?

Thanks for your help! It's funny that we get so attached to a plant!
